Terms & Conditions
These Terms & Conditions ("Terms") form a binding agreement between you and Navelo Software ("Navelo Software", "we", "us", "our") governing your access to and use of our website, proposals, and professional services. Our mobile applications are governed by their own end-user terms linked from each product page.

1. Acceptance of terms
By accessing, browsing, or using this website, or by engaging us for any service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the site or our services. If you accept on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter contracts to use this site or engage us. We reserve the right to refuse service to any person or entity at our sole discretion.
3. Services overview
Navelo Software provides software design, development, and consulting services including web development (React, Next.js, TanStack), cross-platform mobile development (React Native), backend and cloud architecture, integrations, and ongoing maintenance. Specific scope, deliverables, timelines, acceptance criteria, fees, and payment terms for each engagement are set out in a separate Statement of Work (SOW) or Master Services Agreement (MSA). In the event of conflict, the SOW/MSA prevails over these Terms.
4. Permitted use of the website
You may use this website for lawful, personal, and business-evaluation purposes only. You agree not to:
- Copy, scrape, mirror, frame, or redistribute any part of the site without our prior written consent.
- Reverse engineer, decompile, or attempt to derive source code from any software or asset published on the site.
- Probe, scan, or test the vulnerability of the site, or breach security or authentication measures.
- Upload viruses, malware, or any code intended to disrupt, damage, or limit the site.
- Use the site to harass, defame, or infringe the rights of any person, or for unlawful, fraudulent, or misleading purposes.
- Use automated systems (bots, crawlers) except for well-behaved search-engine indexing.
5. Intellectual property
All content on this website — including text, graphics, logos, icons, images, audio, video, code, layouts, design elements, and the “Navelo” and product names and marks — is owned by or licensed to Navelo Software and is protected by copyright, trademark, and other intellectual property laws of India and other jurisdictions. No licence is granted by implication, estoppel, or otherwise except as expressly stated.
Ownership of work product created under a paid engagement is governed by the relevant SOW/MSA. Unless expressly assigned, pre-existing tools, libraries, frameworks, and know-how used by Navelo Software remain our property, and we retain the right to reuse general skills, ideas, and techniques learned during an engagement.
6. Submissions & feedback
Any unsolicited ideas, suggestions, feedback, or materials you submit to us (collectively, “Submissions”) are non-confidential and non-proprietary. You grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify, and incorporate Submissions for any purpose without compensation.
7. Third-party services & links
The site and our services may reference or integrate third-party software, APIs, app stores, payment processors, or hosting providers. We are not responsible for, and disclaim all liability arising from, the availability, terms, content, or practices of such third parties. Your use of third-party services is governed by their own terms.
8. Disclaimers
The website and any free materials, demos, code samples, blog content, or estimates are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted availability. Professional services we deliver under an SOW/MSA are warranted only to the extent expressly stated in that SOW/MSA; all other warranties are disclaimed to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by applicable law:
- Navelo Software shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, even if advised of the possibility.
- Our aggregate liability arising out of or relating to your use of the website is limited to ₹10,000 (INR ten thousand) or its equivalent.
- For paid engagements, our aggregate liability is limited to the fees actually paid by you to Navelo Software for the specific deliverable giving rise to the claim during the three (3) months preceding the event.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (e.g., for fraud, wilful misconduct, or gross negligence).
10. Indemnification
You agree to indemnify, defend, and hold harmless Navelo Software, its directors, officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (a) your breach of these Terms, (b) your misuse of the site or our deliverables, (c) your violation of any law or third-party right, or (d) any content or material you provide to us.
11. Confidentiality
Any information marked as confidential, or which a reasonable person would understand to be confidential, exchanged in the course of evaluating or performing services will be treated as confidential and used only for the purpose for which it was disclosed. Specific confidentiality terms may be set out in a separate NDA or in the SOW/MSA.
12. Force majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond reasonable control, including acts of God, war, terrorism, civil unrest, government action, labour disputes, pandemics, internet or cloud outages, power failures, or denial-of-service attacks.
13. Suspension & termination
We may suspend or terminate your access to the site at any time, with or without notice, for conduct we reasonably believe breaches these Terms or harms us, other users, or third parties. Sections that by their nature should survive termination (including IP, disclaimers, liability, indemnity, and governing law) shall survive.
14. Changes to these Terms
We may update these Terms from time to time. The revised version takes effect when posted on this page with a new “Last updated” date. Continued use of the site after changes constitutes acceptance of the revised Terms.
15. Governing law & jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to the dispute-resolution clause below, the courts at Mohali, Punjab, India shall have exclusive jurisdiction over any disputes.
16. Dispute resolution
The parties shall first attempt in good faith to resolve any dispute through informal negotiation within 30 days of written notice. Failing resolution, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mohali, Punjab, India, and proceedings shall be conducted in English. The arbitral award shall be final and binding. Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a competent court.
17. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any signed SOW/MSA, constitute the entire agreement between you and Navelo Software.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
No waiver. Failure to enforce any provision is not a waiver of future enforcement.
Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
